User Terms and Conditions Welcome to the Najeeb Educational Platform These terms and conditions govern all services provided by the Najeeb website and application, which are owned by Najeeb Company. By using the services provided by the Najeeb Educational Platform, you agree to these terms and conditions. Najeeb’s services are not intended for children under the age of 7, and minors (those under the legal age) must seek the consent of their parents or legal guardians before accessing the platform. About Najeeb Najeeb is an interactive e-learning platform that aims to meet students' educational needs anywhere and anytime. This is achieved by connecting students with teachers who are well-versed in the educational curricula and fully prepared to explain them, answer any related queries, and communicate directly with students as allowed by the platform. Definitions Some terms that may appear in these terms and conditions are defined below unless the context dictates otherwise: • "Najeeb Educational Platform": Refers to the Najeeb website and application owned, controlled, managed, maintained, hosted, licensed, or designed by Najeeb Company to operate on smartphones, tablets, or other devices that the company uses to provide its services. • "Client": The student or service seeker who has registered on the Najeeb Educational Platform to use the application or service, or both. • "Service Provider": The teacher who works in the field of education and possesses the experience, capability, and resources to offer individual teaching services and wishes to provide these services through Najeeb's app. • "Third Party": Any media, commercial, advertising agency, or any public or private company or entity that is associated with the Najeeb Educational Platform by contracts for supplying or receiving services, advertising, promotion, or activities, contributing to the services provided by the platform as previously defined. • "User": This term includes both the client and the service provider or any person permitted to use the platform. • "Data": Refers to all data related to using the application or service or related to the client. • "Intellectual Property Rights": Includes any patent, copyright, invention, database rights, design rights (registered or unregistered), trademarks, trade names, logos, advertising slogans, trade secrets, domain names, or any other intellectual or industrial property right, whether registered or not, in any territory or jurisdiction worldwide. Eligibility for Services You acknowledge and guarantee the following: You have never been suspended or banned from using Najeeb's services at any time. You are not a competitor to Najeeb, and you do not offer any competing product or services. You have the full power and authority to enter into a contract, and by doing so, you are not violating any law or agreement. Commitments and Warranties You acknowledge and guarantee that you will: Comply with all applicable laws and regulations in your country. Adhere to all local laws and regulations, including those related to service operations, and be solely responsible for any violations. Maintain all necessary permits, licenses, and government authorizations required for service performance and business continuity. Provide accurate and up-to-date information to Najeeb and update it periodically. Review and comply with any notices sent by Najeeb regarding your use of the services provided by the platform. Not sublicense, publish, transmit, distribute, perform, display, sell, or commercially exploit Najeeb’s services except as permitted by this agreement. Use the platform or service only for legitimate purposes, and you will not use the services to send or store illegal materials or commit fraud. Not use the platform or service to harm, harass, or annoy anyone. Not disrupt the proper operation of Najeeb’s platform. Not copy or distribute the platform or other content without written permission from Najeeb. Keep any credentials provided to you for accessing your account secure and confidential. Provide us with all evidence verifying your identity at Najeeb’s sole discretion. Najeeb reserves the right to refuse service or platform access without providing reasons. You acknowledge that you refrain from engaging in the following actions: Initiating discussions or using inappropriate language that includes or promotes violence, verbal or non-verbal abuse, or incites religious, racial, gender, or physical/mental disability discrimination, or encourages illegal acts such as drugs, weapons, explosives, viruses, and hacking. Sharing personal phone numbers, email addresses, or social media accounts, or arranging external meetings between the service provider and the client. Najeeb is not legally responsible if you face harassment or danger due to sharing personal information. Intentionally using an inappropriate username or posting a profile picture that violates public morals or impersonates public figures or celebrities. Attempting to damage Najeeb's platform or services, or undermining its staff or users, including posting offensive content on social media. Encouraging or inciting others to engage in the actions mentioned above. Determining Breach or Non-compliance. Najeeb, at its sole discretion, determines whether there is any breach or non-compliance with the terms of the warranties and commitments in your use of its services. If such an event occurs, Najeeb will take the actions it deems appropriate. License Scope: Najeeb grants you a non-exclusive, non-transferable, non-assignable, non-sublicensable, and revocable license to access and use its services solely for personal purposes as outlined in this agreement. Therefore, you must: Not make the services available, rent, lease, assign, resell, distribute, or sublicense them to any third party. Not modify, segment, translate, summarize, or create derivative works based on Najeeb's design, nor attempt to reverse engineer or determine the source code or internal design of the services, or any text, images, audio, video, data, or other information provided by Najeeb or third-party service providers. Not delete, alter, or modify any copyright or other official notices included in the services. Not claim to provide the services or allow access to anyone other than yourself. Not share usernames, passwords, or other access credentials for Najeeb’s educational platform services. Intellectual Property Rights: All intellectual property rights to these services and all related materials or those appearing on them (including any content you submit or include) belong to Najeeb. You must not reproduce or allow anyone, for any reason, to use or reproduce the services or any trademarks or trade names displayed in the services. Commercial Transaction Policy: By using the website or app, you understand and agree to the commercial transaction policy for both students and teachers. General Terms: The prices charged by teachers for providing the service on the platform can be found there. Najeeb may modify or update this from time to time. It is your responsibility to stay informed about the current service prices, and you are solely responsible for paying all fees on time. You acknowledge that any paid amount is non-refundable. By agreeing to these user terms, you accept that your access to stored data on Najeeb’s platform is tied to your account being active. Failure to pay outstanding amounts will result in the suspension of your access to the platform and the data stored on it. Najeeb reserves the right to create, cancel, or review the fees and prices of its services provided through the platform. All fees are due immediately. Additionally, you acknowledge and accept that fees and prices may increase or decrease. Najeeb will make reasonable efforts to notify you of any applicable fees or pricing changes; however, you are responsible for any account differences, regardless of whether you are aware of them. From time to time, Najeeb may provide promotional offers and discounts to some users of the platform, which may result in varying amounts being paid for the same or similar services or products. The service provider agrees to apply these offers and discounts. The teacher acknowledges and agrees that providing their services to students via the platform will involve fees charged to the students. Najeeb will take a specific percentage of these fees in exchange for using the platform and delivering services to students. All fees deducted by Najeeb are final and non-refundable unless otherwise stated by Najeeb. It is recommended to obtain a copy of the service payment receipt for documentation and data storage purposes, which may help resolve any disputes that arise regarding financial matters. The teacher selection process is the responsibility of the student. Najeeb strives to choose the best teachers to provide the service. Both parties must maintain confidentiality and not disclose any confidential information. If a student wishes to request additional subjects or extend teaching hours with the same teacher, the teacher is obliged to complete the request through the website. If Najeeb becomes aware of any non-cooperation in this matter, it reserves the right to suspend the teacher. Teacher: Must demonstrate honesty and integrity in providing the service. Must not assist the student in cheating or completing assignments or projects. Najeeb reserves the right to stop a teacher from continuing with a student if the teacher does not adhere to the agreed-upon schedule. Najeeb has the right to change the teacher for a student if the student requests a different teacher or wishes to withdraw. Student: The agreed price with the teacher is for one hour. The teacher has the right to decline further teaching if the student does not adhere to the agreed schedule. Najeeb reserves the right to suspend a student from continuing with a teacher if the student fails to pay part or all of the amount, as deemed appropriate by Najeeb Indemnification: By agreeing to these user terms and using the platform or service, you agree to defend, indemnify, and hold harmless Najeeb platform, its affiliates, licensors, officers, directors, other users, employees, attorneys, and agents from any claims, costs, damages, losses, liabilities, and expenses (including legal fees and costs) arising from or related to the following: Your violation or breach of any term of these user terms or any applicable law or regulation, whether referenced in these terms or not. Your violation of any rights of third parties, including service providers regulated by the platform. Your use or misuse of the platform or service. Legal Responsibility: The information, recommendations, and services provided to you on or through the service and platform are for general information purposes only and do not constitute specific advice. Najeeb platform will make every effort to maintain the accuracy and up-to-date nature of the site, platform, and its content, but it does not guarantee that the content is free of errors, defects, malware, or viruses, nor does it guarantee the correctness, accuracy, or currency of the site and app. Furthermore, we cannot ensure that your use of the site will be free of technical errors or content mistakes. In the event of a complaint, dispute, or conflict between a service provider and a customer, or in other appropriate situations where there is reasonable cause for such disclosure, Najeeb platform may, without being obliged to the extent permitted by applicable laws and regulations, provide relevant data (including personal data) concerning the service provider or customer to the customer, the service provider, or relevant authorities. Najeeb platform is not responsible for any content or consequences (publication or distribution) of any comments, ratings, or reviews in any way except as required by legal or legislative obligations. Users acknowledge that they may face legal consequences if these posts contain violations of public rules and decency. Najeeb platform is not responsible for any damages resulting from the use of (or inability to use) the website or platform, including damages caused by malware or viruses, nor does it accept liability for the accuracy or completeness of the information on the website or platform. Najeeb is not responsible for service unavailability at any time, for any duration, or for any reason. The responsibility for the quality of services requested through the platform or service lies with the service provider who ultimately delivers them to the customer. Under no circumstances will Najeeb platform accept liability related to the services provided by the service provider or any actions, conduct, or negligence on the part of service providers. Therefore, any complaints about the services should be directed directly to the service provider. Limitation of Liability: Najeeb platform provides no express or implied warranties regarding the services offered. All services are provided "as is." Najeeb platform expressly disclaims, to the fullest extent permitted by law, all warranties, including but not limited to warranties of fitness for a particular purpose, merchantability, and non-infringement of proprietary rights. Najeeb platform does not guarantee the accuracy, content, timing of services, or the results that may or may not be obtained from using the services. Under no circumstances will Najeeb platform, its agents, licensors, or affiliates be liable for direct or indirect damages, penalties, special damages, incidental or consequential damages (including but not limited to loss of profits, business interruption, loss of business information, or other financial losses) arising directly or indirectly from accessing or using the services (or the failure to use them) or relying on them. Najeeb platform reserves the right to monitor and record all communications and online sessions conducted on the platform without permission or prior notice. This is to monitor usage, understand user needs, and improve the services provided on the platform. All communications and educational sessions that are recorded are subject to review, and legal action may be taken in cases of violations of public decency, misuse of content, or breaches of terms and conditions. Najeeb platform shall not be liable for any type of damage, loss (including direct, indirect, consequential, punitive, or special losses), claims, requests, expenses (including legal fees), penalties, or fines arising directly or indirectly from the service provider's agreement, including: Any damages or risks associated with the execution of the service provider agreement. Any act or omission by the customer (including payment). The content and consequences (publication or distribution) of any comments, ratings, or reviews regarding the service provider. The termination of the service provider agreement for any reason. Najeeb platform has no responsibility, nor can the user demand that it fulfill any promotional offers or contests that have not been announced on Najeeb platform or on its officially managed social media accounts. Security: You acknowledge that you are fully responsible for the security of the privacy of services, and you are individually responsible for their use by anyone else using your account and/or username, password, or any other access methods. You also agree to notify Najeeb platform if you become aware of any loss, theft, or unauthorized use of any password, username, IP address, or any other access methods to services. Interactions with Third Parties: During your use of the website, platform, and services, you may be provided with links to websites owned and controlled by third parties, for purposes such as communicating with third parties, purchasing products or services from them, or participating in promotions they offer. These links are outside the control of Najeeb platform. While using the website, platform, and services, you may communicate with or purchase goods or services, or participate in promotions from service providers, advertisers, or sponsors offering their goods or services through a link on the website or via the platform or services. These links are outside the control of Najeeb platform. The websites you may link to have independent terms and conditions as well as independent privacy policies. Najeeb platform is not responsible for the content or activities of these sites and cannot be held accountable for them. Therefore, you assume all risks associated with visiting or accessing those sites. Modification of Services: Najeeb platform reserves the right, at its sole discretion, to do the following at any time: Modify, change, suspend, or discontinue the platform or services or any materials related to it (including, but not limited to, any features, databases, or content) at any time without prior notice. If Najeeb platform decides to discontinue publishing its services, it may, at its discretion, replace the services with similar materials or services. Najeeb platform may restrict your access to certain features or services or parts of the service or the entire service without prior notice or liability. Relationship between Najeeb Platform and the User: The relationship between Najeeb platform and the user is of indefinite duration. The user has the right to deactivate their use of the platform and service at any time by permanently deleting the platform's application installed on their device. You may also close your user account at any time. Najeeb platform also reserves the right to terminate its relationship with the user immediately at any time (by deactivating their use of the platform and service) in the event that the user: Violates or breaches any term of the user terms and conditions. If Najeeb platform believes that you are misusing the platform or services. Najeeb platform is not obligated to provide prior notice of termination. The termination of the relationship does not affect the fulfillment of any claims, financial obligations, or otherwise between Najeeb platform and the user. Governing Law and Dispute Resolution: These user terms and any disputes or claims arising out of or relating to them, or any breach, termination, enforcement, interpretation, or validity thereof, or use of the website, service, or platform, are governed by and construed in accordance with the laws and regulations applicable in the State of Qatar.
